Important notices
Please read these Terms before using Calsa. They affect your legal rights.
- Not medical advice. Calsa is a food diary and calorie counter for general wellness. It is not a medical device and does not give medical, dietetic or nutritional advice. Calories, nutrients and AI answers are estimates. See Section 10 and our Health & Wellness Notice.
- Subscription that renews automatically. Your first Calsa subscription starts with a 7-day trial. After that, it renews every month or year and charges your payment method until you cancel. Cancel before the end of the trial or the current period to avoid the next charge. See Section 8.
- AI features. AI suggests foods and portions and answers questions in the chat. AI output can be wrong. See Section 3 and our AI Policy.
- Arbitration and class-action waiver. If you live in the United States, most disputes with us are resolved by binding individual arbitration, and you waive the right to a jury trial and to take part in a class action. You can opt out within 30 days. See Section 15.
- Adults only. Calsa is for people aged 18 or over, or the age of majority where you live if that is higher.
- California subscribers. Under Cal. Civ. Code §1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, in writing at 1625 North Market Blvd., Suite N112, Sacramento, CA 95834, or by phone at (800) 952-5210.
- App store subscriptions. If you subscribe through the App Store or Google Play, you manage and cancel the subscription in that store, and the store handles refunds under its own rules. See Section 8.
Short summaries in italics at the start of some sections are part of these Terms but don’t replace the full text.
1. Introduction
By using Calsa you agree to these Terms and to the policies they include.
These Terms of Use (“Terms”) are an agreement between you and Genio Group, Inc., a Delaware corporation (“Calsa”, “we”, “us” or “our”), which operates Calsa. They apply to the website calsa.app, the web app at app.calsa.app, the Calsa apps for iPhone and Android (the “Apps”), the emails and notifications we send, and everything we provide through them (together, the “Services”). They apply to everyone who uses the Services, with or without an account or subscription.
These policies are part of these Terms: our Privacy Policy, Consumer Health Data Policy, Billing & Refund Policy, AI Policy, Health & Wellness Notice and Cookie Policy, plus any terms shown to you when you buy a subscription. If you don’t agree, don’t use the Services.
Changes. We may change these Terms. When we do, we post the new version on this page with a new “Last updated” date. We tell you about a material change by email and in the app at least 30 days before it takes effect, and changes apply only from that date forward. If you keep using the Services after that date, the change applies to you. A material change to Section 14 (limitation of liability), Section 15 (disputes), your price or your trial applies to you only after you accept it. If you subscribe, the Terms in force when your current period started keep applying until it renews. We never apply changes to the past without your consent.
Electronic form. You agree to receive these Terms and our notices electronically, in the Services and by email. Please save or print a copy.
2. Eligibility and your account
2a. Who can use Calsa
You may use the Services only if:
- you are at least 18 years old, or the age of majority where you live if that is higher;
- you can enter into a binding contract;
- you are not in a country under a U.S. Government embargo and not on a U.S. list of prohibited persons, such as the Specially Designated Nationals list;
- you are not barred from using the Services by law; and
- we have not previously closed your account for breaking these Terms, unless we have agreed in writing that you can come back.
Calsa isn’t available in some places, because of U.S. sanctions or because our AI providers don’t operate there. In those places you can still cancel your subscription, export or delete your data, and contact support.
If we learn that a user is under 18, we close the account, delete its data and refund all payments, including message packs. We refund web payments ourselves and Google Play purchases through Google Play. For App Store purchases, we tell Apple that we support a refund and explain how to request it.
2b. Your account
You agree to give us accurate information, keep your sign-in method secure, and tell us at [email protected] if you think someone else has used your account. Calsa doesn’t use passwords. You sign in with Apple, Google, a passkey or a link or code sent to your email. You are responsible for activity under your account.
3. Your content and AI
You own what you put into Calsa. AI suggestions are estimates for you to check.
Your Content means what you add to the Services: food entries, photos and phrases you type or dictate, your own foods and recipes, weight, goals, messages to the AI chat and its memory, data you import or connect from Apple Health or Health Connect, and anything you send us. Our Content means everything else in the Services, including the food database, texts, designs, the Calsa name and logo, and software.
AI features. Calsa uses AI to suggest foods and portions from photos and phrases and to answer questions in the AI chat. AI output may be inaccurate or incomplete and is not a statement of fact. Nothing AI suggests goes into your diary until you confirm it, and calorie and nutrient numbers come from the Calsa food database, not from AI. The AI chat tells you it is AI before your first question and does not present itself as a person. How AI features work and which providers process data for them is set out in our AI Policy.
Food data. Our food database combines public food composition tables, open product data and corrections reviewed by Calsa. Its sources include USDA FoodData Central (CC0 1.0), the UK Composition of Foods Integrated Dataset (contains public sector information licensed under the Open Government Licence v3.0), the Canadian Nutrient File (contains information licensed under the Open Government Licence – Canada), Food Standards Australia New Zealand’s AFCD and AUSNUT tables (under FSANZ licence terms) and Open Food Facts (© Open Food Facts contributors, Open Database Licence; product photos under CC BY-SA). We show the source next to each value in the app. Food data can be incomplete or out of date. Always check the label if an ingredient matters for your health.
Corrections you send. If you report an error in a product or suggest a new one, we review it. You let us use the corrected values and the barcode in Calsa and contribute them to the open databases they came from: Open Food Facts under the Open Database Licence, and the Australian tables under FSANZ licence terms. We never contribute your photos or anything that identifies you.
4. Using the AI chat and the Services fairly
You agree not to:
- lie about your age or identity, or use the Services if you are under 18;
- use the Services for anything illegal, harmful, fraudulent or abusive;
- use the Services to track another person’s food or weight without their knowledge;
- try to jailbreak, prompt-inject or otherwise get around the AI chat’s safety rules, filters or limits, or use the chat to produce content that promotes self-harm, eating disorders or dangerous weight loss;
- harass our support team or use the chat to send threats or hateful content;
- use bots, scrapers or other automated tools to access or copy the Services or the food database. An AI agent or assistant you personally direct inside your own account, for example to log food, cancel or export your data, is allowed if it doesn’t scrape, overload the Services or get around their limits;
- copy, sell or build products from Our Content, except that you may share your own summaries and progress pictures for personal, non-commercial use;
- reverse engineer the Services, except where the law allows it, or interfere with them or the networks they use; or
- create a new account after we have closed yours under Section 9 without our written permission.
The chat answers questions about food and your diary. It can’t buy, cancel, change your goal or settings, or delete anything for you. You always do those yourself, on their own screens. It will decline medical questions and some other topics, and it responds to signs of a crisis with helplines instead of an AI answer, as described in our Health & Wellness Notice. You can report any answer with “Report this answer”.
If you break this Section, your licence under Section 6 ends and we may act under Section 9.
5. Privacy
How we collect, use and share personal information is set out in our Privacy Policy, Consumer Health Data Policy, Cookie Policy and AI Policy. We ask for your consent separately where the law or app stores require it, including before we process health data and before we send data to an AI provider.
6. Your licence to use Calsa
While you follow these Terms, we give you a personal, non-exclusive, non-transferable, revocable licence to use the Services for your own non-commercial purposes. For the Apps, the licence covers Apple or Android devices that you own or control, as allowed by the rules of the store you got them from. We reserve all other rights.
7. The rights you give us
You keep ownership of Your Content. You give us a worldwide, royalty-free, non-exclusive licence to host, store, copy, process and display Your Content only to provide, secure and support the Services for you, as described in our Privacy Policy. This includes passing it to our service providers, such as AI providers, under contract. We don’t use Your Content to train AI models, and we don’t sell it.
The licence lasts while you have an account. After that it continues only for as long as our Privacy Policy says we keep data, or as the law requires. Deleting Your Content or your account ends it for the future.
If you send us ideas or feedback, we may use them without paying you. Nothing in this Section limits your rights under data protection law.
8. Subscriptions and payments
Calsa is a paid subscription with a 7-day trial. It renews until you cancel. Our Billing & Refund Policy sets out the details and controls if it differs from this Section.
8a. How you can buy
You can subscribe on our website, where Genio Group, Inc. sells to you and Stripe processes the payment, or in the App Store or Google Play, where Apple or Google sells to you (each an “app store purchase”). The plans, prices, limits and refunds are set out in our Billing & Refund Policy.
8b. Plans, prices and the trial
Calsa has three plans, Calsa Start, Calsa and Calsa Premium, each billed monthly or yearly. All three include the full food diary. They differ in the AI chat and in ads. You can also buy packs of extra chat messages. Prices, including any tax, are shown before you pay, and the total next to the payment button is what you will be charged.
Your first Calsa subscription starts with a 7-day trial of the plan you choose. If you have had a Calsa trial before, you are charged when you subscribe. You need a payment method to start, but you are not charged during the trial. We remind you 48 hours before the first charge. If you don’t cancel, your first charge is on day 8. Each person can have one trial.
8c. Automatic renewal
Your subscription renews automatically at the end of each period, and we, or the app store, charge your payment method, until you cancel. You authorise these charges at the price shown when you subscribed.
Your price is locked while your subscription stays active. If we change prices, the new prices apply only to new subscriptions. We don’t reduce the message limits or features of an active subscription. If an app store changes a price because of tax rules, it tells you in advance and you can cancel.
8d. Failed payments and disputes
If a payment fails, you keep access for a grace period while we, or the app store, retry. If it still fails, your subscription ends. We don’t charge late fees and we don’t pursue unpaid amounts. If you think a charge is wrong, please write to us first. If you dispute a charge with your bank, renewals and paid access pause until the dispute is resolved. You can still read and export your data, and we don’t close your account because of a dispute.
8e. Cancelling
You can cancel at any time. On the web, go to You, then Subscription, then Cancel. It takes one tap, with no questions or offers. You can also email [email protected], and your cancellation counts from when we receive it. For app store purchases, cancel in your App Store or Google Play subscriptions. Deleting the App doesn’t cancel an app store subscription. After cancelling, you keep access until the end of the period you paid for.
8f. Refunds
On the web, you can get a full refund within 14 days of your first payment after the trial and within 14 days of each yearly renewal. Other refunds are set out in our Billing & Refund Policy. App store purchases are refunded by the store under its rules. Nothing in these Terms limits refund rights you have under the law where you live.
8g. Receipts
For web purchases, we email a confirmation with the price, period, next charge date and how to cancel, and a receipt after every charge. We also remind you 30 days before each yearly renewal and once a year for monthly plans. App stores send their own receipts.
8h. Invite a friend
While you have an active paid subscription, you can invite people with your own invite link. When someone new to Calsa subscribes through your link, you earn 30 extra days on your subscription (a “Reward”). A Reward is added once the friend’s yearly subscription is paid, or their monthly subscription renews for the first time, and at least 14 days have passed since their first payment with no refund or dispute. On the web and Google Play, a Reward moves your next charge by 30 days. On the App Store, it is a one-month offer that you claim in the App. You can earn up to 12 Rewards in any 365 days. Rewards have no cash value and can’t be transferred. Inviting yourself or accounts you control doesn’t count, and we may withhold Rewards obtained by fraud.
You send invitations yourself, and we don’t contact the people you invite. Don’t send invitations as spam. Each invitation says that you get a Reward if your friend subscribes, and if you share your link anywhere else, you must say so too. We may change or end the program, but Rewards already added stay on your subscription.
9. Closing or suspending accounts
You can delete your account at any time in the app, on our account deletion page, or by emailing us. Deleting your account cancels a web subscription in the same step. The unused part of the period isn’t refunded unless a refund window in our Billing & Refund Policy applies. If you bought through an app store, cancel there too, or the store will keep charging you. We delete your data as set out in our Privacy Policy.
If you seriously or repeatedly break these Terms or the law, we may suspend or close your account. We tell you why unless the law prevents it. You can still export your data, and a web subscription stops renewing. The current period isn’t refunded unless a refund window in our Billing & Refund Policy applies. We never pursue unpaid amounts.
Sections that by their nature should survive the end of this agreement will survive.
10. Not medical advice
Please read this Section in full. It is supplemented by our Health & Wellness Notice.
Calsa is a general wellness service. It helps you record what you eat and see estimates of calories and nutrients. It is not a medical device, and it does not diagnose, treat, cure or prevent any disease. Calsa, its AI chat and its content do not provide medical, dietetic, nutritional or psychological advice, and they are not a substitute for a doctor, dietitian or other qualified professional.
Calorie and nutrient values, goals, forecasts and AI answers are estimates. Speak to a doctor before starting or changing a diet, especially if you are pregnant or breastfeeding, have a health condition, take medicine, or have a history of disordered eating. Don’t rely on Calsa where an exact number matters for your health, such as dosing insulin or managing an allergy.
If you are in crisis or need urgent help, call your local emergency number. Calsa does not contact emergency services or anyone else for you. Helplines are listed in our Health & Wellness Notice.
11. Disclaimer of warranties
To the fullest extent allowed by law, we provide the Services “as is” and “as available”, without warranties of any kind, express, implied or statutory, including warranties of satisfactory quality, merchantability, fitness for a particular purpose and non-infringement.
We don’t promise that (a) the Services will be uninterrupted, secure or error-free; (b) errors will be corrected; (c) any calorie, nutrient or weight estimate, food data or AI output will be accurate, complete or suitable for your purposes; or (d) you will reach any particular weight or health result.
Some places don’t allow these exclusions, so some of them may not apply to you. Nothing in these Terms limits a guarantee, right or remedy that the law doesn’t allow us to exclude, including under the Australian Consumer Law and the UK Consumer Rights Act 2015.
12. Copyright complaints
If you believe something in the Services infringes your copyright, send a notice to [email protected] with the subject “Copyright notice”. Include your signature, the work you believe is infringed, where the material appears in the Services, your contact details, a statement that you believe in good faith the use isn’t authorised, and a statement, under penalty of perjury, that your notice is accurate and that you own the copyright or may act for the owner.
13. Third-party services and ads
The Services connect to third-party services you choose, such as Apple Health, Health Connect, Sign in with Apple or Google and the app stores. Their own terms apply to them, and we are not responsible for them.
Calsa and Calsa Premium never show ads. Calsa Start may show ads in the future. If it does, Calsa will place them itself, never next to your weight, goal, chat or support screens, and no data about you is shared with advertisers. We are not responsible for third-party products or websites that ads or links lead to.
14. Limitation of liability
To the fullest extent allowed by law, neither we nor our affiliates, employees, licensors or service providers will be liable for any indirect, consequential, exemplary, incidental, special or punitive damages, or for loss of profits, data, use or goodwill, arising from (i) your use of, or inability to use, the Services; (ii) any content in the Services, including food data, estimates and AI output, or your reliance on it; or (iii) unauthorised access to your content.
To the fullest extent allowed by law, our total liability for all claims relating to the Services will not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid us for the Services in the 24 months before the event that gave rise to the claim.
This applies whatever the legal basis of the claim. Nothing in these Terms limits liability that the law doesn’t allow us to limit, including for death or personal injury caused by negligence, for fraud, or under mandatory consumer or data protection law. Some places don’t allow these limits, so they may not apply to you.
15. Disputes, arbitration and class-action waiver
If you live in the United States, please read this Section carefully. It requires individual arbitration and waives jury trials and class actions. You can opt out within 30 days.
15a. Talk to us first
If you have a dispute with us, first send a written notice to [email protected] describing the dispute, what you want, and how to identify your account. We will both try in good faith to resolve it. If it isn’t resolved within 60 days of a complete notice, either of us may start arbitration. This step is required before arbitration, except for small claims. Time limits are paused while it runs.
15b. Agreement to arbitrate
This Section 15b and Section 15c apply if you live in the United States. “Dispute” means any dispute or claim between you and us relating to these Terms, the Services or our relationship. Except for the excluded claims below, you and we agree that all Disputes will be resolved by final, binding individual arbitration under the Federal Arbitration Act. The American Arbitration Association (“AAA”) will administer the arbitration under its Consumer Arbitration Rules then in effect and, where 25 or more similar claims are filed, its Mass Arbitration Supplementary Rules (available at www.adr.org), before a single arbitrator. The arbitration may be held by documents, phone or video, or in person in the U.S. county where you live. You and we each waive the right to a jury trial.
Fees. For any Dispute in which you seek relief, we will pay the part of the filing, administrative and arbitrator fees that is more than it would cost you to file the same claim in court where you live, unless the arbitrator finds your claim frivolous. Each side otherwise pays its own lawyers’ fees unless the law or the AAA rules say otherwise.
15c. Class-action waiver
You and we may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding.
The arbitrator may not combine more than one person’s claims. If this waiver is found unenforceable for a particular claim or remedy, only that claim or remedy goes to court, and the rest stays in arbitration.
15d. Excluded claims
Either of us may bring an individual claim in small claims court if it qualifies. Either of us may ask a court for an injunction to protect intellectual property. Nothing stops you from complaining to a data protection or consumer protection authority. Claims for public injunctive relief that the law doesn’t allow to be waived are decided by a court after the individual arbitration, and the court case is paused until then.
15e. Opting out within 30 days
You may opt out of Sections 15b and 15c by emailing [email protected] within 30 days of first accepting these Terms, with the subject “Arbitration opt-out”, your name, the email of your account, and a clear statement that you opt out. Disputes are then resolved in the courts named in Section 16. Opting out doesn’t affect the rest of these Terms.
15f. Outside the United States
If you live in the United Kingdom, the European Union, Switzerland, Canada or Australia, or anywhere else outside the United States, Sections 15b and 15c don’t apply to you. You keep the protection of the mandatory laws of the place where you live, including the right to bring proceedings in your local courts.
15g. Time limit for claims
If you live in the United States, where the law allows, a claim relating to these Terms or the Services must be filed within one year after it arose. This doesn’t apply where your local law gives a longer period that can’t be shortened.
16. Governing law and courts
The laws of the State of Delaware, U.S.A., without regard to its conflict-of-law rules, govern these Terms and any Dispute, to the extent allowed by law. If you live outside the United States, this doesn’t take away the protection of mandatory consumer laws of the place where you live.
Any Dispute that isn’t arbitrated or brought in small claims court will be heard in the state or federal courts located in Delaware, and you and we agree to their jurisdiction. If you live in the United Kingdom, the European Union, Switzerland, Canada, Australia or another place where the law gives you that right, you may instead bring proceedings in the courts where you live.
17. Indemnity
This Section applies only if you live in the United States. To the extent the law allows, you agree to cover our losses and reasonable legal costs from claims by third parties that arise from Your Content, your breach of these Terms or your breach of the law. This doesn’t apply to consumers where the law doesn’t allow it.
18. Notices and messages
We may send you notices by email, in the app or on the Services. We send service messages whether or not you subscribe to marketing: sign-in links and codes, trial and renewal reminders, receipts, plan change and cancellation confirmations, failed payment and refund notices, export and deletion confirmations, support replies, security notices and messages the law requires. Marketing emails are sent only if you agree, and each has a one-click unsubscribe. Push notifications are sent only if you allow them, and you can change them in settings.
When you tap a button such as “Start my 7-day trial”, “Subscribe” or “I agree”, you sign electronically and agree to be bound, under laws including the U.S. E-Sign Act.
19. App store terms
If you got an App from the Apple App Store, you and we agree that:
- these Terms are between you and us only, not Apple, and we, not Apple, are responsible for the App and its content;
- your licence to the App is limited to Apple-branded devices you own or control, as allowed by the Usage Rules in the Apple Media Services Terms and Conditions;
- Apple has no obligation to provide maintenance or support for the App;
- if the App fails to meet any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App, if any. To the extent the law allows, Apple has no other warranty obligation for the App;
- we, not Apple, are responsible for any claims relating to the App, including product liability claims, claims that the App fails to meet legal or regulatory requirements, and consumer protection or privacy claims;
- if a third party claims the App infringes its intellectual property, we, not Apple, are responsible for investigating, defending, settling and discharging the claim;
- you confirm that you are not in a country under a U.S. Government embargo or designated as a “terrorist supporting” country, and are not on a U.S. list of prohibited or restricted parties;
- you must comply with third-party terms that apply when using the App; and
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
If you got an App from Google Play, the Google Play Terms of Service also apply to your use of Google Play.
20. General
These Terms and the policies in Section 1 are the whole agreement between you and us about the Services. If any part is found unenforceable, the rest still applies. If we don’t enforce a right, we haven’t waived it. You may not transfer these Terms. We may transfer them, for example in a merger or sale of our business, and we will tell you if that happens. These Terms don’t create a partnership, agency or employment relationship. We aren’t liable for delays or failures caused by events beyond our reasonable control. These Terms are written in English. If we provide a translation, the English version controls unless the law says otherwise.
21. Terms for specific places
